Sue Ryder International Learning Academy terms and conditions

All provision of training services by Sue Ryder International Learning Academy is governed by and subject to the following terms and conditions. By booking and/or attending a training course, you agree to the following terms and conditions.

1. Interpretation

In these Terms and Conditions the following words and phrases shall have the following meanings:

  • Attendees - Each individual who attends a course.
  • Booking page - The webpage via which customers can book places on courses.
  • Confidential information - Any information which is expressly described as being confidential or which might reasonably be considered confidential including but not limited to information regarding either party’s patients, service users, supporters, employees, volunteers and business practices.
  • Course - Each training course offered by Sue Ryder International Learning Academy.
  • Customer - The party (including its Attendees, servants agents and employees) receiving training services from Sue Ryder International Learning Academy.
  • Fees - The fees payable for each course as specified on the booking page.
  • Intellectual property rights - All intellectual property rights wherever in the world arising, whether registered or unregistered (and including any application), including copyright, know-how, confidential information, trade secrets, business names and domain names, trade marks, service marks, trade names, patents, petty patents, utility models, design rights, database rights and all rights in the nature of unfair competition rights or rights to sue for passing off.
  • Material - Any booklets, notes, handouts, copy slides or other materials provided by Sue Ryder International Learning Academy in the course of the training services.
  • Sue Ryder International Learning Academy - Sue Ryder Direct Ltd, trading as the Sue Ryder International Learning Academy, company no. 00889743, whose registered office is at Kings House, King Street, Sudbury, Suffolk, CO10 2ED.
  • Terms and conditions - These terms and conditions.
  • Training services - The provision of training by Sue Ryder International Learning Academy via courses.

2. Booking

a) Customers should apply to book places on a Course via the Booking Page. Customers must complete all fields marked as mandatory.

b) A place is only confirmed once Sue Ryder International Learning Academy confirms its acceptance of the booking.

c) Sue Ryder International Learning Academy reserves the right to refuse any booking in its absolute discretion. Where Sue Ryder International Learning Academy refuses a booking and the Customer has paid the Fees, Sue Ryder International Learning Academy shall refund such Fees to the Customer and shall have no further liability.

3. Fees and payment

a) The Fees for each course shall be specified on the booking page.

b) The Fees are payable by card online at the time of placing the booking.

c) Sue Ryder International Learning Academy may in its discretion allow Customers to pay for Courses by BACs. Where Sue Ryder International Learning Academy permits this, it shall submit an invoice to the Customer upon acceptance of the booking. The Customer shall pay such invoice in cleared funds within 30 days of the invoice date.

d) Save as expressly set out in these Terms and Conditions all Fees are non-refundable.

4. Obligations of Sue Ryder International Learning Academy

a) Sue Ryder International Learning Academy shall provide the Training Services with reasonable care and skill and using suitable qualified staff.

b) The Content of each Course shall materially correspond with the information provided in respect of the Course concerned on the Booking Page.

c) Save as aforesaid no warranty is given in respect of the Training Services.

5. Intellectual property

a) All Intellectual Property Rights in the Courses and any and all associated Materials shall at all times remain the property of Sue Ryder International Learning Academy and its licensors. Nothing in these Terms and Conditions shall transfer ownership of any Intellectual Property Rights to the Customer.

b) Sue Ryder International Learning Academy grants to the Customer a licence to use the Intellectual Property Rights in the relevant Course and its associated Materials to the extent necessary to receive the Training Services. Customers may not use any of the Materials or Intellectual Property Rights for any other purpose without Sue Ryder International Learning Academy’s prior written consent.

6. Data protection

a) Sue Ryder International Learning Academy will process the personal data of Customers and Attendees for the purposes of providing the Training Services and managing Course bookings.

b) Where you tick the relevant box on the Booking Page Sue Ryder International Learning Academy will send you further information about other Courses or about the Sue Ryder International Learning Academy’s parent charity, its work and ways of supporting it.

7. Confidentiality

a) Each party will use all reasonable efforts to keep confidential any Confidential Information belonging to the other which it might receive in the course of the Training Services.

b) The provisions of clause 7) a) above shall not apply in respect of any information which is already in the public domain through no fault of the parties to these Terms and Conditions or which is required to be disclosed by any relevant legislation or regulation or by the order of any court or regulatory body.

8. Obligations of the customer

a) The Customer shall be responsible for ensuring that its Attendees attend the relevant Course on time and in a fit state to participate appropriately. Sue Ryder International Learning Academy reserves the right to exclude any Attendee who arrives late or who is not in a fit state to receive the Training Services for whatever reason. No refund shall be given in such circumstances. Sue Ryder International Learning Academy reserves the right to exclude any Attendee from the Course if their conduct is disruptive or otherwise not conducive to the effective provision of the training. Sue Ryder International Learning Academy shall not be liable to provide a refund in respect of such Attendee.

9. Cancellation

a) Cancellation by Sue Ryder International Learning Academy:

i) Sue Ryder International Learning Academy reserves the right to cancel any Course where there are insufficient Attendees, due to unexpected absence of Sue Ryder International Learning Academy staff or where it is unable to proceed due to circumstances beyond its reasonable control. In such circumstances Sue Ryder International Learning Academy shall endeavour to reschedule the Course concerned. Affected Customers may transfer to the rescheduled Course or opt for a full refund. Sue Ryder International Learning Academy shall have no further liability to Customers

ii) Sue Ryder International Learning Academy may terminate the booking without liability in the event that the Customer materially breaches these Terms and Conditions, if the Customer fails to pay the Fees when due or if the Customer becomes insolvent or bankrupt, enters liquidation or administration or otherwise ceases trading.

b) Cancellation by Customers:

i) If a Customer wishes to cancel their booking for a Course, they must give Sue Ryder International Learning Academy not less than 7 days’ notice in writing. Where 7 days’ or more notice is given the Customer will be permitted to transfer to another occurrence of the same Course or receive a refund.

ii) Where a Customer gives less than 7 days’ notice of cancellation or their Attendee fails to attend the Course, no refund shall be given.

10. Miscellaneous

a) Save in respect of death or personal injury caused by Sue Ryder International Learning Academy’s negligence or any other liability which cannot by law be limited or excluded, Sue Ryder International Learning Academy’s liability to the Customer, whether contractual, common law or in tort shall not exceed the Fee payable for the Course concerned.

b) Each right or remedy of Sue Ryder International Learning Academy under these Terms and Conditions is without prejudice to any other right or remedy of Sue Ryder International Learning Academy whether under these Terms and Conditions or not.

c) If any provision of these Terms and Conditions is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall, to the extent of such illegality, invalidity, voidness, voidability, unenforceability or unreasonableness, be deemed severable and the remaining provisions of these Terms and Conditions and the remainder of such provision shall continue in full force and effect.

d) Failure or delay by Sue Ryder International Learning Academy in enforcing or partially enforcing any provision of these Terms and Conditions shall not be construed as a waiver of any of its rights under these Terms and Conditions.

e) No variation of these Terms and Conditions shall be effective unless agreed in writing by Sue Ryder International Learning Academy.

f) Any waiver by Sue Ryder International Learning Academy of any breach of, or any default under, any provision of these Terms and Conditions by the Customer shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of these Terms and Conditions.

g) The parties to these Terms and Conditions do not intend that any term of these Terms and Conditions shall be enforceable by virtue of this Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.

h) The formation, existence, construction, performance, validity and all aspects of these Terms and Conditions shall be governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
